TERMS OF SERVICE

These Terms of Service ("Terms") are a binding agreement between you ("you" or
"User") and TradePilot Labs LLC, a Texas limited liability company ("TradePilot,"
"we," "us"). By creating an account, accepting these Terms, or using the
TradePilot service (the "Service"), you agree to these Terms and to the Risk
Disclosure, which is incorporated by reference. If you do not agree, do not use
the Service.
1. ELIGIBILITY
You must be at least 18 years old, have the legal capacity to enter into this
agreement, and reside in a jurisdiction where use of the Service is lawful. You
represent that all information you provide is accurate.
2. DESCRIPTION OF THE SERVICE
The Service is software that, based on third-party trading signals and the
configuration you select, automates the placement and management of options
orders in a brokerage account that YOU own and connect. TradePilot is not a
broker-dealer, exchange, or clearing firm, does not take custody of your funds or
securities, and does not execute trades on its own behalf for you. All trades
occur in your own brokerage account, which you control and may disconnect at any
time. The Service does not provide personalized investment advice (see Section 6).
3. ACCOUNT & SECURITY
You are responsible for maintaining the confidentiality of your credentials and
for all activity under your account. Notify us immediately of any unauthorized
use. We may suspend accounts we reasonably believe are compromised or in breach.
4. BROKERAGE CONNECTION & TRADING AUTHORIZATION
To use automated trading you authorize the Service to connect to your brokerage
account and to place, modify, and cancel orders according to the signals and
settings in effect. You may revoke this authorization at any time by disabling
trading or disconnecting your brokerage. You acknowledge that orders are placed
on a best-effort, automated basis and may fail, be delayed, or execute
imperfectly as described in the Risk Disclosure.
5. APPROVAL, FEES & SUBSCRIPTION
Access to live trading may require administrator approval. Certain features
require a paid subscription. Fees, billing frequency, and any trial terms are
presented at sign-up or purchase. PAID SUBSCRIPTIONS MAY AUTOMATICALLY RENEW
until cancelled; you may cancel at any time effective at the end of the current
billing period, and you authorize recurring charges until you cancel. Except
where required by law, fees are non-refundable.
6. NO INVESTMENT ADVICE
The Service does not provide investment, financial, legal, or tax advice and is
not a fiduciary to you. Nothing provided through the Service is a recommendation
or solicitation to buy or sell any security. You make your own trading decisions
and are solely responsible for them. See the Risk Disclosure.
7. USER RESPONSIBILITIES & ACCEPTABLE USE
You are responsible for your brokerage account, your allocated capital, your
selected settings and risk parameters, your broker options-approval level, and
monitoring your account. You agree not to misuse the Service, interfere with its
operation, attempt to gain unauthorized access, or use it for any unlawful
purpose.
8. RIGHT TO SUSPEND, DISABLE, OR MODIFY
We may, at any time and without prior notice, suspend, disable, limit, halt, or
modify the Service or any user's trading (in whole or in part), including via
administrative trading locks, kill-switches, or maintenance, where we deem it
necessary or appropriate. We are not liable for any consequence of such actions.
9. DISCLAIMER OF WARRANTIES
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY
KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE,
TIMELY, OR THAT ANY ORDER OR PROTECTIVE FEATURE WILL FUNCTION AS INTENDED.
10. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRADEPILOT AND ITS OWNERS, OFFICERS, AND
AGENTS WILL NOT BE LIABLE FOR ANY TRADING OR INVESTMENT LOSSES, OR FOR ANY
INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR
FOR LOST PROFITS OR LOST DATA, ARISING OUT OF OR RELATING TO THE SERVICE, EVEN IF
ADVISED OF THE POSSIBILITY. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING
TO THE SERVICE WILL NOT EXCEED THE GREATER OF (a) THE TOTAL FEES YOU PAID TO US
IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (b)
USD $100. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED BY LAW
(such as for fraud, gross negligence, or willful misconduct, or any non-waivable
statutory rights). Some jurisdictions do not allow certain limitations, so some
of the above may not apply to you.
11. INDEMNIFICATION
You agree to indemnify and hold harmless TradePilot and its owners, officers, and
agents from and against any claims, losses, liabilities, and expenses (including
reasonable attorneys' fees) arising from your use of the Service, your trading
activity, your breach of these Terms, or your violation of any law or third-party
right.
12. INTELLECTUAL PROPERTY
The Service, including its software, content, and trademarks, is owned by
TradePilot and protected by law. We grant you a limited, non-exclusive,
non-transferable, revocable license to use the Service for its intended purpose.
You may not copy, modify, reverse-engineer, or create derivative works.
13. PRIVACY
Your use of the Service is subject to our Privacy Policy, which describes how we
collect, use, store, and protect your information, including brokerage connection
credentials.
14. TERM & TERMINATION
You may stop using the Service and close your account at any time. We may suspend
or terminate your access at any time, with or without cause. Sections that by
their nature should survive termination (including Sections 6, 9, 10, 11, 12, 15)
will survive.
15. DISPUTE RESOLUTION — BINDING ARBITRATION; GOVERNING LAW; CLASS WAIVER
These Terms are governed by the laws of the State of Texas, without regard to
conflict-of-laws rules. Any dispute arising out of or relating to these Terms or
the Service shall be resolved by FINAL AND BINDING ARBITRATION administered by
the American Arbitration Association under its applicable rules, seated in
Travis County, Texas, before a single arbitrator. YOU AND TRADEPILOT WAIVE THE RIGHT
TO A JURY TRIAL AND AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL
CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE
PROCEEDING. Either party may seek injunctive relief in a court of competent
jurisdiction for intellectual-property or unauthorized-access matters.
16. CHANGES TO THESE TERMS
We may update these Terms or the Risk Disclosure. Material changes will be
presented for your acceptance; continued use after changes take effect
constitutes acceptance. We track the version you accepted.
17. MISCELLANEOUS
Force Majeure: we are not liable for failures or delays due to causes beyond our
reasonable control (including market, broker, data-provider, or infrastructure
outages). Severability: if any provision is unenforceable, the rest remains in
effect. Entire Agreement: these Terms and the Risk Disclosure are the entire
agreement between you and us regarding the Service. Assignment: you may not
assign these Terms; we may assign them. No waiver of any term is implied by any
failure to enforce it.
